Why Dell can't be trusted as a Managed Service Partner

Today was an interesting day.  I had the opportunity to meet with Dell about their Managed Services and why we should become a partner of Dell and offer them to our clients.  I asked one question to them "Would Dell sign a Non-Disclosure Agreement (NDA) or a Non-Compete Agreement (NCA) that protects the partners from having Dell take our clients?".  The answer was provided as this "As long as the deal is registered with Dell, Dell will not go after it direct."  This does not answer my question about the NDA or the NCA.  Once the deal is registered with Dell, they have access to our client information.  What stops them form going after our clients?  Nothing.  Dell wants their partners to sign NDA and NCA but Dell refuses to sign one that protects the partners from "direct competition and client stealing."
